Prior to proceeding, carefully review the following Terms of Use governing the use of our Website, mobile applications (“App”), and APIs. WayPoint GPS, the platform owner (“we,” “us,” “our”), owns, registers, and operates this Platform, which includes the App, APIs, and Website. Your use of this Platform, whether as a registered or guest user, constitutes acceptance of these Terms, forming a legally binding Agreement.

By engaging with our Platform, you are availing yourself of our services (“Service”) and agreeing to these Terms, along with any additional terms, conditions, and policies referenced herein or available by hyperlink. These Terms apply to all users, including browsers, vendors, customers, merchants, and content contributors.

Note: Carefully read these Terms before accessing or using the Platform. Your access to the Platform and use of any services implies your acceptance of these Terms. By accepting these Terms & Conditions, you also agree to be bound by other terms and conditions and Platform policies posted on the Platform from time to time.

Disclaimer

This document, an electronic record, is governed by laws and regulations of various jurisdictions, including the United States, European Union, the European Economic Area, and other countries involved in Processing Personal Data under these Terms of Use. Clicking “send OTP” implies your consent, confirming that you have read and understood the Terms of Use and agree to be bound by them.

Eligibility / Authorized Use

If you wish to avail Services through the Platform, you warrant that you have the legal competency and authority to enter into a binding agreement. Individuals deemed “incompetent to contract” under the Indian Contract Act, 1872, including minors and un-discharged insolvents, are ineligible to use the Platform. If registering as a business entity, you represent that you have the authority to bind the entity or organization to these Terms. You are financially responsible for all Platform usage, including minors using the Services under your supervision.

Services

WayPoint GPS aims to provide a platform for easy fleet operations management. Our end-to-end solutions support you through every step of the fleet management life cycle.

 

All services provided on the Platform are at the sole discretion of WayPoint GPS. You acknowledge and agree that WayPoint GPS may add, remove, suspend, or cancel any services/products without notice or liability.

Audit

WayPoint GPS reserves the right, but not the obligation, to audit Content, User Content, and features on the Platform. If, at our discretion, we find any material or feature in violation of laws or terms, we may remove, edit, or block such content without notice. User Content, whether publicly posted or privately transmitted, is the sole responsibility of the user.

Electronic Communication

By using our Services, you consent to WayPoint GPS contacting you and sending promotional offers to your provided email address and contact numbers.

General

No joint venture, partnership, employment, or agency relationship exists between you and WayPoint GPS due to these Terms. Our performance is subject to existing laws, and nothing in these Terms interferes with our compliance with applicable laws.

 

If any part of these Terms is determined invalid or unenforceable, the invalid provision will be superseded by one that most closely matches the original intent. The remainder of these Terms will continue in effect.

 

You may access the Platform and Services as a registered or guest user, with certain sections accessible only to registered users.

Your Account and Registration Obligations

User Account

A “User Account” is a personal account created by the user on the Platform. To access our Services, users must register on the Platform and undergo a verification process. Registered users must create a unique identification username and password.

 

As a registered user, you are responsible for maintaining the confidentiality of your User ID and Password. You agree to provide accurate and current information about yourself. Providing false information may result in suspension or termination of your access.

 

You may access your Service-related records on the Platform. Ensure that the Account Information provided in your registered account is accurate. Using another user’s Account Information is prohibited.

Links to Third-Party Websites

The Platform may contain links to other websites (“Linked Sites”) not under WayPoint GPS’s control. We are not responsible for the content or changes on Linked Sites. Accessing Linked Sites subjects you to their terms, privacy policy, and additional policies.

Information Sharing and Disclosure

WayPoint GPS does not sell or rent your personally identifiable information. We may share information when required by law, to provide requested Services, or respond to legal processes. Non-compliance with our terms may result in legal proceedings.

Limitation and Disclaimer of Warranty

The Platform and Services are provided “AS IS” without warranties, express or implied. WayPoint GPS disclaims all warranties, including no infringement or violation of intellectual property rights. We are not liable for direct, indirect, or incidental damages resulting from Platform use or unavailability.

Intellectual Property

You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works, or sell information or Services obtained from the Platform without prior written authorization. WayPoint GPS retains all Intellectual Property Rights to solutions and products developed for Services.

Copyrights

All Platform content, including text, graphics, logos, and software, is the sole property of WayPoint GPS, protected under copyright laws.

No Unlawful or Prohibited Use

You warrant not to use the Platform for unlawful, illegal, or prohibited purposes. You shall not damage, disable, or interfere with the Platform, violating the rights of others.

Indemnification and Limitation of Liability

  • Indemnity: You agree to indemnify WayPoint GPS and its subsidiaries, affiliates, vendors, agents, and their directors, officers, employees from losses, liabilities, claims, damages arising from your breach of these Terms.
  • Limitation of Liability: WayPoint GPS is not liable for any damages, whether direct, indirect, incidental, or consequential, arising from Platform use, delays, or errors. Our aggregate liability is limited to the greater of INR 100 or fees paid for relevant services.

User Comments

WayPoint GPS does not monitor all user-posted information. You warrant that any information or comments transmitted to WayPoint GPS do not infringe intellectual property rights. Submitted information may be used at our discretion.

Modifications of These Terms of Use

WayPoint GPS may modify these Terms at any time by posting updates on the Platform. Continued use implies acceptance of modifications.

Language and Display

WayPoint GPS does not intend to display language that hurts sentiments or is defamatory. For grievances, contact the Grievance Officer at compliance@waypointgps.in.

Dispute Resolution & Governing Laws

For disputes, contact the Grievance Officer. Disputes shall be referred to an Arbitrational Tribunal in New Delhi, India, governed by Indian laws. By using the Platform, you consent to this dispute resolution clause.
